1. Business Authority
Contractor represents that the person accepting the agreement has authority to bind the contractor business or sole proprietor account and, where applicable, to consent to electronic delivery of contractor tax-form recipient statements to the contractor owner/principal email address on file. Contractor must keep legal name, DBA, ownership, owner/principal email, address, tax, license, insurance, workers compensation, crew, and payout information current.
2. Independent Contractor Controls
Contractor controls the lawful means and methods of work performance, subject to the SOW, code, permits, safety laws, platform documentation rules, no-subcontracting policy, customer access rules, and dispute/warranty obligations. Completa does not provide tools, vehicles, uniforms, payroll, jobsite supervision, tax withholding, or workers compensation.
3. Work Product and Evidence
Contractor grants Completa a non-exclusive, royalty-free, worldwide, sublicensable license to use, store, copy, display, modify, transmit, and share with approved subprocessors project photos, completion evidence, receipts, invoices, communications, measurements, work notes, and warranty/dispute records for project administration, customer records, payment, disputes, warranty, fraud/safety, quality review, contractor scoring, legal compliance, and platform improvement. The license lasts for the period that Completa retains the content under the Privacy Policy, Privacy Rights and Data Governance Supplement, and operational retention rules; it survives account termination as needed for records, audits, disputes, warranty, fraud/safety review, tax/accounting, customer record access, and legal compliance. The license is irrevocable for completed project records and forward-looking revocable only to the extent revocation does not impair active projects, records, audits, disputes, warranty, fraud/safety, tax/accounting, customer record access, or legal compliance.
Contractor may keep ordinary business, tax, accounting, warranty, and compliance records but may not misuse Completa templates, SOWs, estimates, customer data, or platform records to bypass the platform for an active Completa project.
4. Contractor Indemnity
Contractor must defend, indemnify, and hold harmless Completa and its affiliates for claims arising from contractor work, materials, employees, crew, prohibited subcontracting, licensing, insurance, workers compensation, taxes, payroll, safety, property damage, injury, warranty, code compliance, off-platform circumvention, false verification data, or breach of platform terms.
This defense, indemnity, and hold-harmless obligation is subject to the carveouts in the Master General Provisions Addendum §Contractor Indemnity, including claims caused by Completa's gross negligence or willful misconduct, claims caused primarily by Completa's defective platform technology where contractor's compliance with mandatory platform instructions proximately caused the harm, and matters made non-indemnifiable by Texas construction anti-indemnity law or other applicable law.
5. Termination for Cause
Completa may suspend or terminate contractor access for:
- no-show, abandonment, or repeated late arrival;
- material SOW breach or defective work;
- prohibited subcontracting or hidden third-party labor;
- expired, false, missing, or revoked license/insurance/background/verification status;
- fraud, theft, harassment, safety risk, discrimination, violence, or customer-trust risk;
- off-platform payment/circumvention;
- chargeback abuse or negative-balance failure;
- data misuse or unauthorized disclosure;
- failure to honor warranty/callback obligations.
Termination does not eliminate contractor obligations for completed work, refunds, rework, warranty, disputes, indemnity, repayment, taxes, data restrictions, or records.
Contractor may request voluntary account deactivation through support, subject to completion or orderly transfer of active projects, open disputes, refunds, warranty obligations, payout holds, negative balances, and legal-retention obligations. Contractor may retain ordinary business, tax, accounting, warranty, and compliance records for completed or active projects after termination, subject to confidentiality, privacy, anti-circumvention, and data-use restrictions. Completa may preserve project records, messages, SOWs, completion photos, dispute/warranty materials, payment records, and legal acceptance records after termination as needed for project administration, disputes, warranty, tax/accounting, fraud prevention, security, legal compliance, and customer record access.
6. Payout Holds and Negative Balances
Completa may delay, withhold, reverse, offset, or reserve contractor payouts as authorized by the SOW, payment terms, dispute policy, refund policy, payment processor rules, or contractor breach. Contractor must repay negative balances, refund obligations, transfer reversals, chargebacks, correction costs, and amounts owed due to fraud, breach, or platform decision.
7. No Reliance on Lead Volume
Completa does not guarantee lead volume, project volume, search ranking, customer selection, acceptance rate, payout timing, revenue, profitability, or continued platform access.
